About the Organization
Swaniti Initiative is a social enterprise that is working at the intersection of climate, governance and last mile delivery. We believe that while the willingness and resources exist, there are fundamental gaps in the execution within communities that is the biggest crisis in the climate movement. Accordingly, Swaniti works with subnational governments to conduct microplanning exercises with consultations with community and key stakeholders to understand the pathways forward, provide technical assistance to subnational governments to provide support in program implementation and support in monitoring and delivery of programs.
Swaniti has been working across multiple geographies in the global south to unlock capital. Our three core metrics include unlocking public capital, ensuring last mile communities are directly benefitted and creating systemic changes in the public service systems. While we are continuing to focus on impact, it is critical to have a lead who has a deep understanding about monitoring, evaluation and learning. Our intention is to create an institutional capability to measure and document the scale of our impact and look at how learning can be replicated across the institution.
Job Description
We are looking for a detail-oriented and proactive Legal Associate to support the organization's legal, corporate, and compliance functions. The ideal candidate will assist in drafting and reviewing legal documents, ensuring regulatory compliance, managing corporate records, and providing legal support on business and governance matters.
Key Responsibilities
- Draft, review, and negotiate legal documents, including contracts, NDAs, MOUs, service agreements, and partnership agreements.
- Provide legal support on corporate governance, compliance, and risk management matters.
- Ensure compliance with applicable laws and statutory requirements, including company law, labour laws, corporate governance, and other regulatory frameworks.
- Assist in corporate transactions, joint ventures, investments, and other commercial legal matters.
- Coordinate with internal teams and external legal counsel on legal matters and litigation, where required.
- Maintain legal records, statutory registers, board resolutions, shareholder agreements, and other corporate documentation.
- Conduct legal research and monitor regulatory developments affecting the organization.
- Support company secretarial activities, including board meeting documentation, minutes, statutory filings, and regulatory submissions.
- Liaise with government authorities, regulatory bodies, and external stakeholders for legal and statutory compliance matters.
Requirements
Education
- LL.B. (Bachelor of Laws) from a recognized university. LL.M. or Company Secretary (CS) qualification will be an added advantage.
Experience
- Minimum 2-3 years of experience in corporate legal, commercial contracts, compliance, or company secretarial functions.
- Prior experience working with a CSO, NGO, or development sector organization will be an added advantage.
- Experience in drafting and reviewing legal agreements and handling corporate legal documentation.
- Exposure to corporate governance, regulatory compliance, and legal advisory will be preferred.
Skills
- Strong knowledge of corporate, commercial, and contract laws.
- Excellent legal drafting, research, and analytical skills.
- Strong attention to detail and problem-solving abilities.
- Good communication and stakeholder management skills.
- Ability to manage multiple assignments while meeting deadlines.
- Proficiency in MS Office and legal documentation.
